These terms govern access to and use of the BOS Studio platform, including related applications, APIs, digital twin tools, agentic systems, and supporting services operated by GENIE AI, Inc.

- These Terms include binding arbitration and a waiver of class actions in Section 14.

Overview
These Terms of Use ("Terms") govern your access to and use of BOS Studio and any related applications, platforms, products, APIs, digital twin tools, agentic systems, or services (collectively, the "Platform").
The Platform is owned and operated by GENIE AI, Inc. By accessing or using the Platform, you agree to be legally bound by these Terms. If you do not agree, you may not access or use the Platform.
01. Accounts
To access certain features, you may need to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
You are responsible for safeguarding your login credentials and all activity under your account. We may suspend or terminate accounts that violate these Terms.
02. Access and License
GENIE AI, Inc. grants you a limited, non-exclusive, non-transferable, revocable license to use BOS Studio for internal business or personal use.
You may not:
- Sell or sublicense the Platform
- Reverse engineer or extract source code
- Build competing AI systems
- Use bots, scrapers, or crawlers without permission
- Circumvent security or usage limits
We may modify or discontinue the Platform at any time.
03. AI Services and SuperAgents
BOS Studio provides access to generative AI systems, digital twins, agentic workflows, and automation tools (collectively, "AI Services").
AI outputs may be inaccurate or probabilistic. You are responsible for reviewing all outputs before relying on them. The Platform does not provide legal, financial, medical, or regulatory advice.
04. User Content
You retain ownership of all content you submit ("User Content"). You grant GENIE AI, Inc. a license to use, process, store, and display your content solely to operate and improve the Platform.
We do not sell your User Content.
05. Acceptable Use
You agree not to:
- Violate laws
- Infringe rights
- Harm or exploit others
- Develop malicious software
- Commit fraud or impersonation
- Access unauthorized data
- Disrupt the Platform
We may suspend accounts that violate these rules or otherwise misuse the Platform.
06. Feedback
Any feedback you provide may be used by GENIE AI, Inc. without restriction or compensation. You hereby assign all rights in such feedback to GENIE AI, Inc. to the maximum extent permitted by law.
07. Intellectual Property
All Platform intellectual property (excluding your content) is owned by GENIE AI, Inc. or its licensors. These Terms do not grant ownership rights to users.
08. Third-Party Services
The Platform may integrate with third-party services. Those services are provided by third parties and governed by their own terms and policies. We are not responsible for those services.
10. Disclaimers
The Platform is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, including any warranties of accuracy, reliability, fitness for a particular purpose, and non-infringement.
We do not warrant that AI outputs or any part of the Platform will be error-free or uninterrupted.
11. Limitation of Liability
To the maximum extent permitted by law, GENIE AI, Inc. is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Platform.
Our total liability for all claims relating to the Platform is limited to the greater of (a) CAD $50 or (b) the amount you paid for access to the Platform in the twelve (12) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless GENIE AI, Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Platform
- Your violation of these Terms
- Your User Content
13. Term and Termination
These Terms remain in effect until terminated. We may suspend or terminate your access to the Platform at any time, with or without notice, including if you violate these Terms. Upon termination, your right to use the Platform ceases immediately.
14. Dispute Resolution
These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Platform will be resolved by binding arbitration in Toronto, Canada.
You waive any right to participate in class actions or representative proceedings. You may only bring claims on your own behalf.
15. Copyright Policy
If you believe that content on the Platform infringes your copyright, please contact us at legal@genieai.ca with details of the alleged infringement.
16. Modifications
We may update these Terms at any time. If we make material changes, we will provide notice as appropriate under the circumstances. Your continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the changes.
17. Electronic Communications
By using the Platform, you consent to receive electronic communications related to your use of the Platform and these Terms, including notices, disclosures, and other communications, in electronic form.
18. Entire Agreement & Contact
These Terms represent the full agreement between you and GENIE AI, Inc. regarding your use of the Platform and supersede any prior or contemporaneous agreements.
